It should work. I do it "all the time". I also do clean new installs using "upgrade" disks.
If it finds no trace of an old OS, sometimes, it won't work first time -- but, often it does. If it does not work, then there is a "procedure" to follow -- which has always worked for me. Microsoft put in the procedure because Vista and Windows 7 could not upgrade some XP installations -- rather, they have to be "clean installs". So, Microsoft allows for that.
